Company DescriptionRZOLV Technologies Inc. is a Canadian mineral-processing technology company commercializing a proprietary, water-based, non-cyanide hydrometallurgical platform for the recovery of precious metals, base metals, and selected critical minerals. The RZOLV platform is being developed for application to ores, concentrates, tailings, refractory and transitional materials, spent process materials, legacy residues, and selected secondary resources. It is designed to operate under controlled aqueous conditions and integrate with established downstream recovery technologies, including activated carbon, ion exchange, and electrowinning.
RZOLV's commercialization strategy is based on feed-specific metallurgical testing, independent technical validation, partner-supported pilot programs, and commercial relationships involving technology licensing, reagent manufacturing and distribution, project participation, and other strategic arrangements.

Position OverviewThe Vice President, Investor Relations will lead the development and execution of RZOLV's investor relations, capital-markets engagement, and market-awareness strategy. This is a highly visible and hands-on executive position responsible for shaping how RZOLV's technology, business model, technical progress, commercialization pathway, and long-term value proposition are understood by the investment community.
The successful candidate will serve as a trusted link between the Company and its shareholders, prospective investors, analysts, investment dealers, family offices, and other capital-markets stakeholders. Working closely with the President and CEO, CFO, Board of Directors, technical team, legal counsel, and external advisors, the Vice President will translate complex scientific, metallurgical, financial, and commercial information into clear, credible, and balanced communications.
The position requires more than conventional corporate communications. It combines capital-markets judgment, financial literacy, technical understanding, strategic messaging, regulatory discipline, and direct investor engagement. The successful candidate must be comfortable operating in an entrepreneurial, pre-revenue technology company where the investor relations function must be both strategic and highly execution-oriented.
The central objective is to improve informed market understanding of RZOLV—not through promotional promises, but through consistent communication of what has been demonstrated, what remains under development, the milestones that can reduce risk, and the Company's pathway toward commercial adoption and revenue generation.
Key Responsibilities Investor Relations and Capital-Markets Strategy- Develop and execute a comprehensive investor relations and capital-markets strategy aligned with RZOLV's corporate objectives, technical development programs, commercial priorities, and financing requirements.
- Establish a structured annual investor relations plan, communications calendar, budget, and measurable performance objectives.
- Build and maintain a clear, differentiated, and fact-based investment narrative that communicates RZOLV's technology, addressable markets, competitive positioning, business model, and commercialization pathway.
- Ensure that the Company's technical, corporate, and financial progress is communicated consistently across all investor-facing channels.
- Identify the milestones, evidence, and market developments most relevant to reducing investor uncertainty and improving informed value recognition.
- Advise executive management and the Board on investor expectations, capital-markets implications, and opportunities to strengthen the Company's market positioning.
- Serve as a principal point of contact for current and prospective shareholders, institutional investors, family offices, analysts, investment dealers, and other capital-markets participants.
- Develop and maintain relationships with investors that have an interest in mining technology, hydrometallurgy, clean technology, precious metals, critical minerals, and pre-commercial technology companies.
- Expand the Company's reach among qualified institutional, strategic, and retail investment audiences in Canada, the United States, and selected international markets.
- Lead investor meetings, roadshows, conference participation, webinars, shareholder presentations, annual meetings, investor days, and laboratory or project-site visits.
- Maintain a disciplined investor-targeting program supported by an investor relationship management system, meeting records, and structured follow-up.
- Respond to investor inquiries accurately, consistently, and promptly while respecting disclosure obligations and confidentiality requirements.
- Strengthen relationships with analysts and other market participants capable of independently evaluating the Company and its technology.
- Develop programs to improve engagement with existing shareholders and create a broader, better-informed, and more diversified shareholder base.
- Translate complex metallurgical test results, process-development programs, pilot initiatives, strategic collaborations, and commercial objectives into clear and understandable investor communications.
- Clearly distinguish between independently demonstrated results, internal testing, preliminary findings, development objectives, commercial assumptions, and forward-looking expectations.
- Prepare, edit, and oversee investor presentations, fact sheets, shareholder updates, executive speaking materials, question-and-answer documents, website content, conference materials, and other market-facing communications.
- Support the preparation and review of news releases, financial-results communications, management discussion and analysis, corporate presentations, and other public disclosure documents.
- Develop message frameworks for the Company's principal technology applications, target markets, partnerships, licensing opportunities, and commercial-development programs.
- Ensure that investor communications present a balanced account of the Company's accomplishments, remaining technical and commercial work, material risks, and measurable next steps.
- Maintain consistency across the Company's website, social-media channels, investor materials, executive presentations, and third-party investor relations programs.
- Prepare executives and technical personnel for investor meetings, public presentations, interviews, conferences, and shareholder events.
- Monitor investor sentiment, trading activity, shareholder composition, research coverage, peer-company performance, financing conditions, and relevant sector developments.
- Establish and maintain an appropriate peer group of mining-technology, process-technology, clean-technology, and pre-commercial public companies.
- Conduct comparative valuation, market-positioning, and capital-markets analysis to help management and the Board understand how RZOLV is being evaluated.
- Provide regular reports to executive management and the Board regarding investor feedback, shareholder concerns, market perceptions, competitive positioning, and emerging capital-markets risks.
- Identify gaps between the Company's internal progress and external market understanding and recommend practical measures to address those gaps.
- Advise management on the potential investor and market implications of technical results, partnerships, financing decisions, corporate transactions, and changes in strategic direction.
- Develop feedback mechanisms that allow recurring investor questions and concerns to inform corporate messaging and executive decision-making.
- Work closely with the CEO, CFO, legal counsel, and external advisors to ensure that public communications are accurate, complete, timely, and consistent with applicable disclosure requirements.
- Support the communication of quarterly and annual financial results, corporate expenditures, liquidity, financing activities, and commercialization priorities.
- Ensure that investor materials accurately reflect the Company's financial position, capital structure, outstanding securities, use of funds, and material contractual arrangements.
- Maintain current knowledge of applicable Canadian securities laws, stock-exchange policies, continuous-disclosure requirements, selective-disclosure restrictions, and social-media communication standards.
- Assist in establishing and maintaining internal review and approval procedures for investor-facing materials and public statements.
- Support the development of disclosure controls, communications protocols, and issue-response plans.
- Help management anticipate and prepare for investor questions relating to financial performance, technical development, commercialization timelines, dilution, capital requirements, strategic partnerships, and execution risks.
- Support management in communicating the Company's financing strategy and capital requirements to investors and other market participants.
- Assist with the preparation of investor presentations, management scripts, due-diligence materials, and market communications associated with financings and strategic transactions.
- Coordinate capital-markets messaging with management, legal counsel, investment dealers, and other professional advisors.
- Develop relationships with capital providers that understand the development timelines, technical risks, and potential value drivers associated with process-technology companies.
- Support non-deal marketing and investor education between financing activities so that the Company's market presence is not dependent on individual transactions.
- Conduct all financing-related investor relations activities within applicable securities laws and without performing activities requiring registration as a securities dealer.
- Select, manage, and evaluate investor relations firms, market-awareness providers, digital communications consultants, conference organizers, and other external service providers.
- Establish clear scopes of work, budgets, deliverables, compliance expectations, and performance measures for external providers.
- Ensure that third-party communications are accurate, properly approved, appropriately disclosed, and consistent with the Company's core messaging.
- Measure the effectiveness of investor relations expenditures through relevant indicators such as investor-meeting quality, shareholder engagement, audience development, institutional interest, communications reach, and investor feedback.
- Recommend the continuation, modification, or termination of programs based on measurable results and strategic relevance.
- Ensure that investor relations programs support credible, long-term market understanding rather than short-term promotional activity.
- Bachelor's degree in finance, business, economics, accounting, communications, engineering, geology, metallurgy, chemistry, or another relevant field preferred.
- A minimum of 10 years of progressively responsible experience in investor relations, capital markets, equity research, investment banking, corporate finance, corporate development, or financial communications.
- Previous senior investor relations or capital-markets experience with a Canadian publicly listed company.
- Experience in mining, mining technology, mineral processing, hydrometallurgy, specialty chemicals, clean technology, critical minerals, or another technically complex industry is strongly preferred.
- Demonstrated ability to understand complex technical information and convert it into accurate, accessible, and compelling investment communications.
- Strong understanding of capital markets, public-company valuation, financial statements, corporate finance, accounting principles, and financing structures.
- Familiarity with Canadian securities laws, stock-exchange policies, continuous-disclosure requirements, and restrictions relating to selective disclosure and promotional communications.
- Experience communicating with institutional investors, family offices, analysts, brokers, retail investors, and strategic industry participants.
- Exceptional written and verbal communication skills, with demonstrated experience preparing investor presentations, shareholder communications, executive scripts, and public disclosure materials.
- Strong presentation and executive-interaction skills, with the ability to represent the Company credibly in one-on-one meetings, conferences, webinars, and public forums.
- Experience conducting peer-company analysis, market-sentiment assessment, shareholder targeting, and investor-perception work.
- Strong project-management capabilities and the ability to coordinate effectively across executive, financial, legal, technical, and commercial teams.
- Demonstrated judgment when handling confidential, material, or market-sensitive information.
- Proficiency with investor relationship management systems, market-intelligence platforms, financial analysis tools, and presentation software.
- Ability and willingness to travel within Canada, the United States, and selected international markets.
- Experience with a TSX or TSX Venture Exchange-listed mining, technology, or clean-technology issuer.
- Familiarity with the OTCQX or OTCQB markets and European trading platforms.
- An established network among resource-sector investors, technology investors, family offices, analysts, and investment dealers.
- Previous experience in investment banking, equity research, institutional sales, corporate development, or strategic communications.
- A CFA, CPA, MBA, CIRI designation, or other relevant professional qualification.
- Experience supporting public-company financings, strategic partnerships, licensing transactions, or technology-commercialization programs.
- Understanding of mineral-processing project development, metallurgical test programs, pilot-scale validation, and technology-readiness milestones.
- Highly credible, ethical, and committed to accurate and balanced disclosure.
- Strategic in outlook but willing to personally prepare materials, conduct outreach, and manage investor follow-up.
- Comfortable working in a fast-moving, entrepreneurial public-company environment.
- Intellectually curious and capable of developing a practical understanding of RZOLV's chemistry, metallurgy, target markets, and commercial strategy.
