A confidential independent sponsor and fund incubator is seeking an experienced Commercial and Securities Litigator to join its network of trusted legal advisors on a fractional basis.
This opportunity is designed for an entrepreneurial lawyer who is interested in working alongside business leaders, investors, emerging funds, portfolio companies, and growth-stage enterprises. The successful candidate will provide strategic legal insight on a variety of commercial, contractual, and securities-related matters while supporting transactions, dispute resolution, and risk management initiatives.
This is not a traditional law firm role. It is a flexible, relationship-driven opportunity for a lawyer who enjoys acting as a strategic advisor and trusted counsel to sophisticated business stakeholders.
About the Opportunity
The organization works with founders, operators, investors, fund managers, and capital markets participants across a range of industries and growth stages. The successful candidate will provide practical legal guidance, assist in evaluating litigation and regulatory risks, and support the resolution of commercial and securities-related disputes.
The role may involve collaboration with external law firms, subject-matter experts, financial professionals, and executive leadership teams.
Key Responsibilities
- Provide strategic legal advice regarding commercial disputes, contractual matters, and litigation risk.
- Advise on securities-related disputes, regulatory matters, and enforcement issues.
- Assess potential claims, defenses, litigation exposure, and settlement opportunities.
- Review, analyze, and advise on commercial agreements and related contractual obligations.
- Support dispute resolution efforts through negotiation, mediation, arbitration, and litigation strategy.
- Coordinate with external counsel where litigation or regulatory proceedings are active.
- Assist with legal due diligence, risk assessment, and special situations involving investments, acquisitions, restructurings, or other corporate initiatives.
- Provide practical business-oriented guidance to management teams, investors, and stakeholders.
Qualifications
- Licensed to practice law in Ontario and in good standing with the Law Society of Ontario.
- Minimum five (5) years of experience in commercial litigation, securities litigation, or a closely related practice area.
- Experience involving complex commercial disputes, shareholder disputes, contract disputes, securities matters, regulatory proceedings, or enforcement actions.
- Strong analytical, advocacy, negotiation, and legal drafting skills.
- Ability to identify legal risks while maintaining a practical, commercially focused perspective.
- Comfortable working independently and collaborating with multidisciplinary teams.
- Entrepreneurial mindset with strong business judgment and relationship management capabilities.
