Senior Legal Counsel (Full-Time, Permanent)

Location: Calgary, Alberta

Role Overview

A growing renewable energy company is seeking a Senior Legal Counsel to support its rapidly expanding renewable energy platform across North America.

This role is highly transactional and execution-driven, providing legal leadership across the full lifecycle of utility-scale energy projects, from acquisition and development through financing, construction and operations.

The successful candidate will work closely with senior management and cross-functional teams to ensure that all legal frameworks are commercially optimized, bankable and aligned with project delivery timelines.

Key Responsibilities

1. Project Acquisition & M&A

  • Lead legal support for acquisitions of renewable energy projects (share and asset deals)
  • Draft, review and negotiate:
  • LOIs, term sheets and exclusivity agreements
  • Share Purchase Agreements (SPAs)
  • Joint venture and shareholder agreements
  • Manage legal due diligence (corporate, land, permits, interconnection and PPAs)
  • Coordinate with external counsel and advisors to ensure efficient transaction execution

2. Commercial Contracting (EPC & O&M)

  • Structure, draft and negotiate key project agreements, including:
  • EPC contracts (lump sum turnkey preferred structures)
  • O&M agreements
  • Supply and procurement contracts (modules, inverters, BESS, etc.)
  • Ensure contracts are bankable and aligned with lender requirements
  • Support risk allocation strategy across contractors and suppliers

3. Power Purchase Agreements (PPA) & Offtake

  • Support negotiation and structuring of:
  • Corporate PPAs
  • Merchant exposure frameworks
  • Review offtaker agreements to ensure:
  • Alignment with financing requirements
  • Manageable LD regimes and security structures
  • Work closely with the commercial team on pricing and risk positioning

4. Project Development & Regulatory

  • Provide legal guidance on:
  • AUC / AESO regulatory processes
  • Interconnection agreements and transmission matters
  • Land agreements (leases, easements and surface rights)
  • Support development teams in managing permitting risks and timelines

5. Project Finance & Structuring

  • Support legal aspects of project financing, including:
  • Debt structuring and lender negotiations
  • Security packages and direct agreements
  • Ensure all project contracts are aligned with lender due diligence requirements
  • Assist with financial close and funding processes

6. Governance, Risk & Compliance

  • Establish and maintain internal legal frameworks and contract standards
  • Ensure compliance with applicable Canadian laws and regulations
  • Identify and mitigate legal and commercial risks across the portfolio

7. Cross-Functional Leadership

  • Act as a key advisor to executive leadership on legal and commercial matters
  • Work closely with:
  • Development
  • Engineering / EPC
  • Finance
  • Asset Management
  • Provide pragmatic, solution-oriented legal advice to support deal execution

Candidate Profile

Qualifications

  • Qualified lawyer in Canada (Alberta preferred)
  • Minimum 7–10+ years of experience in:
  • Energy / infrastructure
  • Project finance
  • Construction or commercial law

Technical Expertise

  • Strong experience in:
  • Renewable energy transactions
  • EPC and construction contracts
  • Project finance and bankability requirements
  • Deep understanding of utility-scale solar, wind and/or BESS projects

Commercial Mindset

  • Ability to operate in a fast-paced, deal-driven environment
  • Strong negotiation skills with a focus on closing transactions efficiently
  • Comfortable balancing legal rigor with business objectives

Communication & Leadership

  • Strong stakeholder management skills across internal and external parties
  • Experience working with international teams and investors is an asset
  • Ability to manage multiple projects simultaneously under tight timelines
