About the Company:

A global education provider is seeking a skilled Legal Counsel to join its dynamic legal team. This remote role requires candidates to be commutable to Toronto for ad hoc in-office requirements.

About the Role:

This is a varied generalist position covering a broad range of commercial legal matters, including Commercial Contracts, IP & Media, Litigation, and Commercial Real Property (including Commercial Leasing). A high proportion of the work will focus on drafting, reviewing, and negotiating a wide variety of commercial agreements.

Key Responsibilities

Commercial Law

• Draft, review, and negotiate a range of commercial agreements, including service agreements, license agreements, partnership agreements with universities, commercial leases, and terms & conditions.
• Collaborate closely with sales operations, marketing, and procurement teams.
• Work alongside the central legal team to ensure compliance and strategic alignment.
• Lead negotiations with customers, suppliers, partner universities, and agents.
• Manage external counsel and corporate services providers.
• Experience with regulated industries, government procurement, or higher education is a plus but not required.

Corporate Law

• Support M&A transactions and corporate structuring.
• Advise on corporate governance, partnerships, and joint ventures.
• Exposure to banking, real estate, and secured transactions is beneficial but not required.

About You:

The ideal candidate will have:

• At least three years of post-qualification experience in a nationally recognized law firm focusing on commercial contracts.
• Completed an M&A or banking seat during training.
• Strong multitasking, time management, and organizational skills with a focus on delivery.
• The ability to work in a fast-paced, dynamic environment and effectively prioritize tasks.
• A client-facing, entrepreneurial, and collaborative approach.
• A pragmatic, proactive, and solutions-oriented mindset.
