Intermediate Paralegal - Corporate Services
Our client is a respected Vancouver law firm and is currently seeking an Intermediate Corporate Services Paralegal to join their Corporate Services Department. Reporting to the Manager of Corporate Services, the successful candidate will play a critical role in delivering professional, efficient, and prompt service to the firms lawyers and clients.
Key Responsibilities:- Demonstrate a solid understanding of the Business Corporations Act (BC) and the Canada Business Corporations Act.
- Attend to filings with the BC Registrar of Companies and Corporations Canada.
- Prepare incorporation and organization documents for both BC and federal entities.
- Prepare BC transparency registers and federal ISC registers.
- Handle the preparation of partnerships, limited partnerships, business names, and extra-provincial registrations across Canada.
- Prepare voluntary dissolution documents.
- Draft documents for BC societies and federal not-for-profit corporations.
- Conduct minute book reviews and prepare documents to address deficiencies.
- Prepare documents for registered and records office changes, name changes, share capital changes, share issuance/transfers, director/officer appointments or removals, and other basic resolutions.
- Assist with preparation of annual consent resolutions for BC and federal entities.
- Conduct corporate searches across jurisdictions in Canada.
- Collaborate with law clerks in other offices regarding corporate matters.
- Assist with training junior paralegals.
- Provide additional support to the corporate team as required.
- Graduate of a recognized paralegal program with a minimum of 5+ years of relevant law firm or related experience.
- Proficiency with ALF, BC Online, and Corporations Canada platforms.
- Strong skills in MS Word.
- Excellent organizational skills and a keen attention to detail to ensure document accuracy.
- Ability to multitask, prioritize work effectively, and perform well under pressure and tight deadlines.
- Strong communication and interpersonal skills, with the ability to listen actively and respond appropriately.
- Ability to work both independently and collaboratively as a team member, managing work and priorities effectively in each setting.
- Reliable, self-motivated, and proactive, with a demonstrated ability to take initiative when appropriate.
$75,000 - $95,000 per year. Candidates with a combination of training and experience may also be considered.
