Reports To: General Counsel

Job Summary:

As Legal Counsel, you will play a pivotal role in safeguarding the company's legal interests and facilitating its strategic objectives. Reporting to the General Counsel, you will be the primary liaison for the Legal team, driving efficient communication and collaboration while contributing directly to the provision of comprehensive legal support across the ecosystem.

The anticipated salary range for this position is between $100,000 CAD and $115,000 CAD annually, commensurate with experience.

We anticipate the successful candidate will work from our Vancouver office 4 to 5 days each week. Successful candidate must be willing to relocate to Vancouver, BC.

What You'll Be Doing:

  • Acting as the primary point of contact for the Legal team, efficiently triaging and responding to inquiries, and escalating complex matters as needed.

  • Overseeing the organization's data privacy strategies and ensures compliance with relevant laws and regulations.
  • Supporting iQmetrix's internal business units and subsidiaries by providing legal advice on licensing, technology, marketing, data privacy, and other diverse matters.

  • Reviewing, drafting and negotiating various types of contracts, including inbound and outbound software license agreements, marketing agreements, non-disclosure agreements, and partner agreements, ensuring they protect the organization's interests.

  • Developing and delivering internal training on Legal policies and initiatives to foster a culture of best practice and compliance within the organization.

  • Conducting legal research and analysis on emerging issues and regulations to advise the General Counsel and business units.

  • Corporate secretary and governance duties to maintain the good standing, registrations, and corporate records of the Company and all of its various subsidiaries.

  • Assisting with litigation and dispute resolution matters, collaborating with external counsel as necessary.

  • Contributing legal expertise and insights to the Risk & Compliance Committee, actively participating in the identification, assessment, mitigation, and monitoring of organizational risks.

  • Contributing to the creation and maintenance of legal templates and standard contract forms.

What We're Looking For:

  • Member in good standing of the Law Society of British Columbia.

  • 2-3 years of experience with a law firm providing services for technology clients and/or relevant in-house experience with a technology company.

  • Significant knowledge and experience with the negotiation and preparation of a wide range of sophisticated technology and other commercial agreements.

  • Ability to work independently to manage the entire contract process from initial contact to execution.

  • Ability to handle a high volume of work, multi-task and prioritize workload efficiently and effectively.

  • Possess excellent verbal and written communication skills, coupled with a confident and personable demeanor to build strong internal and external relationships.

  • Someone who has (or is in the process of obtaining) their Certified Information Privacy Professional (CIPP) designation, demonstrating expertise in data privacy laws and regulations to support the organization's compliance efforts.
