EarthDaily Analytics (EDA), headquartered in Vancouver, British Columbia, is a vertically- integrated data processing and analytics company employing cutting-edge Big Data tools and proven Space technologies to provide value-added insights to the people, businesses, and government entities confronting the world's most pressing challenges – from addressing climate change to optimized natural resource management to agricultural risk mitigation to disaster prevention and recovery and more. In 2024, globally distributed EDA will launch the $200 million commercially financed 10-satellite EarthDaily Constellation (EDC) with committed support from its owners, NY-based private equity firm Antarctica Capital. Combined with the EarthPipeline data processing system, EDC will be the first system capable of imaging the entire Earth every day, with scientific quality in 22-spectral bands. It will employ cutting-edge cloud-native processing that is specifically configured for AI/ML applications, transforming raw downlinked satellite data into high-quality and highly calibrated Analysis Ready Data (ARD) that will feed users' algorithms.
EDC will be the most powerful global change detection and change monitoring system ever developed, capable of generating unprecedented predictive analytics and insights – information that is fundamental to decision-making for government policies, business strategies, science research investments and financial risk advisory.
The following details a formidable General Counsel opportunity with an emphasis on corporate legal matters for a globally distributed organization including its subsidiaries and affiliates. The company positions itself for exponential growth with the possibility of making an initial public offering (IPO) in 1-2 years' time. Interested candidates should have a passion for the technology sector with demonstrated oversight of the legal function to support a company at pivotal stages of development and growth including M&A work.
JOB SUMMARY
Reporting directly to the CEO, and working closely with the Board of Directors, the General Counsel will be responsible for the legal affairs of EDA and its subsidiary and affiliate organizations.
The General Counsel will manage the legal aspects of the day-to-day and long-term growth/expansion of the business. You will provide a legal contract administration function for customer and partner agreements in addition to handling regulatory affairs, risk mitigation and legal support for mergers and acquisitions. The General Counsel will also provide general legal guidance to senior management on a range of topics from intellectual property law to privacy law to employment law.
KEY RESPONSIBILITIES
  • Accountable for leading corporate strategic and tactical legal initiatives. Provides management team and other staff with effective advice on legal strategies and their implementation.
  • Execute company's transactions for growth through mergers/acquisitions from due diligence to closing, ensuring compliance and optimal risk management in deals and developing the legal and tax structures for acquisitions/partnerships with internal and external advisors.
  • Manage the legal function and the legal aspects of EarthDaily Analytics' day-to-day operations, including partner/customer contracts, regulatory affairs, intellectual property, employment, financing matters, employment law and other general risk management.
  • Manage Board of Directors minute books, periodic reporting for EarthDaily Analytics and its subsidiaries and affiliated companies and provide advice with respect to future and possible EarthDaily Analytics' obligations under Canadian and/or US securities laws.
  • Ensure that the Corporation complies with laws and guidelines in a variety of global jurisdictions related to EarthDaily Analytics' businesses and its activities.
  • Monitor changing laws and codes and takes proactive action to ensure that EarthDaily Analytics does not violate these laws.
  • Write and execute documents related to the Corporation's activities including letters, statements, contracts, and agreements ensuring that documents are easy to understand, readable and enforceable in the best interest of the Corporation.
  • Review press releases and advertising and marketing materials to ensure that they comply with legal requirements.
  • Provide training to the company on a variety of legal topics including legal sales contract administration and employment legislation.
  • When required and within the allocated budget, hire and manage on a day-to-day basis, the legal personnel, including external counsel to meet agreed objectives.
  • Manage additional legal professionals by promoting a positive, forward thinking and focused working philosophy, leading by example. Mentor individuals by delivering regular feedback and performance reviews, fostering a strong team ethos.
  • Demonstrate exemplary standards of ethics, behaviour, quality, domain knowledge and professionalism and subscribes to the Corporation's values, culture, vision, and mission.
  • Work closely and in collaboration with all functional units to create a legally responsible, cohesive, and integrated organization system comprised of existing and new business entities.
EDUCATION AND EXPERIENCE
  • 12+ years in-house and/or corporate law firm legal experience
  • Expert knowledge of corporate and contract law, with demonstrated experience dealing with regulatory authorities; Demonstrated experience in public-tech with remote sensing sector experience (an asset)
  • Strong subject matter expertise in multiple legal areas, including intellectual property, mergers and acquisitions, commercial partnerships
  • Expert knowledge of legal and regulatory requirements and procedures

  • Ability to work with a variety of platforms and tools with a desire to create systems to better organize the legal affairs of the company
DELIVERABLES
  • Maintained corporate governance, legal and tax structures
  • Completion of merger and integration work including legal frameworks, structure, and systems
  • Scalable systems/documents/templates i.e. agreements and contracts that enable staff-members/make self-reliant/easy-to-replicate
  • Weekly/monthly legal report (snapshots and summary of legal issues)
  • Overall responsibility for the legal budget
  • Support with updated, core company policies i.e. Code of Conduct, Non-Disclosure etc.

YOUR COMPENSATION

Base Salary Range: $230,000-$300,000 + 50%-75% bonus eligibility

Placement within the range above depends on job-related skills, experience, training, education, location and business needs. The range is based on BC-derived compensation for this role.
