CPA SK is seeking a qualified and interested CPA to fulfill a volunteer position as a Saskatchewan representative on the CPAIPW board of directors.

The Organization:

CPA Insurance Plans West ("CPAIPW") is a not-for-profit organization governed by eight (8) Board of Directors (the "Board") appointed by its members, the four (4) western Chartered Professional Accountant provincial regulatory bodies (BC, Alberta, Saskatchewan and Manitoba – hereinafter referred to as "Members"). The Board is comprised of two (2) individuals from each of the four Members and oversees the operation of CPAIPW through a Chief Executive Officer. A representative from BC is required for the Board to fill a vacancy that will be occurring in the fall of 2024. CPAIPW has a stated Vision and Mission as follows:

Vision:

CPAIPW will be the provider of choice for all CPA insurance needs.

Mission :

CPAIPW's mission is to effectively provide the best value in insurance and other benefit programs to CPA firms, individual CPAs and students and their spouses in Western Canada (Manitoba, Saskatchewan, Alberta, British Columbia, Yukon, Northwest Territories and Nunavut).

Guiding Principles for Governance:

1. CPAIPW has a Board appointed by its members.

2. The Board is to act in the best interest of its members and policyholders.

3. The Board sets policy through Bylaws and Board Resolutions.

4. The Board appoints the Chief Executive Officer.

5. The Chief Executive Officer is accountable to the Board for his/her actions and reports to the Board through quarterly reports or as required on one-time and ongoing matters.

6. The Chief Executive Officer is accountable for CPAIPW's day-to-day operations and staff.

Board Responsibilities:

The Board is explicitly responsible for the stewardship of CPAIPW. To discharge this obligation, the Board should assume responsibility in the following areas:

Strategic Planning and Budget Process

1. Provide input on emerging trends and issues.

2. Review and approve management's business plan and associated strategies, at least annually.

3. Review and approve CPAIPW's annual budget, plans and actions, including significant capital allocations and expenditures.

Monitoring Tactical Progress

Monitor performance against the strategic and business plans, including assessing operating results to evaluate whether CPAIPW is being properly managed. As required, recommend the implementation of a course of action to improve the operations of CPAIPW.

Risk Assessment

Identify the principal risks of CPAIPW's business and ensure that appropriate systems are in place to manage these risks.

Senior Staffing

Select, monitor, and annually evaluate the Chief Executive Officer's performance, and ensure management succession plans are appropriate.

Stewardship

Assume responsibility for the stewardship of CPAIPW's assets.

Integrity

Ensure the integrity of CPAIPW's internal control and management information systems.

Ensure ethical behavior and compliance with laws and regulations, audit and accounting principles, and CPAIPW's own governing documents.

Material Transactions

Review and approve material transactions and agreements, and transactions and agreements not in the ordinary course of business.

Monitoring Board Effectiveness

Assess its' own effectiveness in fulfilling the above and other Board responsibilities.

Other

Perform such other functions as prescribed by law or assigned to the Board in CPAIPW's governing documents. Ensure there is adequate Directors and Officers liability insurance.

Director Competencies and Qualifications:

The ideal candidate will have the following core competencies:

· Sound business judgement

· Strong relationship building skills

· Executive level experience

· Governance experience

· Skill set beyond traditional accounting (e.g. experience in HR, Benefits, Actuarial, Insurance, Marketing)

· Ability to commit to two (2), four (4) year terms and travel to quarterly meetings (generally in Vancouver).

Compensation:

This is a volunteer position that provides individuals with the opportunity to assist in the provision of exceptional insurance to CPAs and CPA firms in western Canada. All travel, accommodation and related meeting costs are reimbursed by CPAIPW. Directors who need to purchase technological devices to enable them to access electronic Board materials will be reimbursed by CPAIPW for such equipment costs of up to $1,500 per 4-year appointment.
