As the Legal & Compliance Manager you'll oversee and coordinate legal activities in our businesses across Canada, ensuring seamless collaboration between business teams. Responsibilities includes reviewing and coordinating regulatory and commercial matters, ensuring compliance and providing strategic legal guidance to support the Group objectives.
Major Responsibilities:
- Legal Coordination: Oversee and coordinate legal activities across the Canadian organization, collaborating with business teams to ensure a cohesive approach to legal matters.
- Regulatory Compliance: Oversee compliance of basic regulatory requirements, ensuring the Company's operations adhere to relevant laws and standards.
- Commercial Agreements: Manage and coordinate the drafting, review, and negotiation of commercial agreements, equipment finance agreements, leases and customer contracts while safeguarding the Company's interests.
- Risk Mitigation: Identify legal risks and provide proactive solutions to mitigate potential issues, contributing to the development of strategies that protect the Company from legal liabilities.
- Policy Development: Oversee the development and implementation of legal policies, ensuring alignment with industry regulations and best practices.
- Legal Guidance: Provide strategic legal guidance to internal stakeholders, offering insights on legal implications related to business decisions.
- Contract Management: Establish and maintain an efficient contract management system, overseeing the lifecycle of contracts and agreements to minimize legal exposure.
- Dispute Resolution: Collaborate with internal and external parties to resolve legal disputes efficiently, exploring alternative dispute resolution mechanisms when appropriate.
- Taining and Awareness: Coordinate training sessions and create awareness programs to educate employees on legal matters, fostering a culture of compliance within the Company.
- Employment Matters: Work with internal HR team to review and update employment policies and contract templates on a regular basis to ensure regulatory compliance and best practice.
- Due Diligence: Participate in due diligence processes for mergers, acquisitions, or other business transactions, ensuring legal considerations are thoroughly examined.
- Continuous Improvement: Stay informed about legal developments affecting the Company and industry, and recommend improvements to legal processes and practices to enhance overall Company effectiveness.
- External Counsel Management: Engage with external counsel on both deal-specific and ordinary course corporate, commercial, regulatory and litigation issues.
Requirements
- 7-10 years of related experience;
- Law degree from a recognized school or institution;
- Applicable membership in good standing with the Law Society of Ontario, with demonstrated expertise in all relevant areas of the law, considered a strong asset;
- Project a strong presence, with superior relationship building skills and proven success in connecting with different functional areas, as well as with internal and external stakeholders;
- Strong communication skills, both written and verbal;
- Excellent writing and editing skills with the ability to translate technical and sensitive information for various audiences;
- High attention to detail with the ability to work under pressure and at times under tight deadlines;
- Confident and proactive self-starter, skilled in taking initiative, assessing requirements, formulating plans, and taking the lead in making plans a reality;
- Fluent in English. French is considered a strong asset;

- You need to be legally eligible to work at 1640 Enterprise Road, Mississauga, Ontario Canada;
- Hybrid Work model;
- Availability for travelling.
