Corporate Paralegal - Boutique Corporate & Tax Law Firm (Calgary, AB)

Are you looking for a dynamic role in a collaborative, boutique law firm that values teamwork, professional growth, and work-life balance? Our client, a well-established corporate and tax law firm in Calgary, is seeking a Corporate Paralegal to join their close-knit team.

About the Role:

Key Responsibilities:

  • Assist with corporate reorganization transactions, including drafting corporate documents such as closing agendas, resolutions, consents, and basic agreements.
  • Prepare annual maintenance packages for Alberta, Federal, and Extra-Provincial entities.
  • Prepare and file various change documents (Notices of Change, Annual Returns, Trade Name Declarations, etc.).
  • Conduct CORES Level I and II filings with Alberta Corporate Registry and online filings with Corporations Canada.
  • Conduct corporate searches and obtain Certificates of Status.
  • Maintain the integrity of corporate databases, virtual minute books, and firm records.
  • Handle requests for corporate documents, including minute books and corporate seals.
  • Prepare client correspondence and reporting documents.
  • Respond to daily inquiries from counsel and clients.
  • Handle post-closing filings and prepare electronic closing books.
  • Assist with fact-finding initiatives and minute book reviews.
  • Proofread and prepare reporting letters.

Qualifications:

  • Min 2-5 years with Alberta Corporate Law preferred
  • Experience with ALF cloud database is an asset.
  • Diploma in Paralegal Studies (or equivalent) with a minimum of 2 years of experience in a paralegal role.
  • Proficiency in Microsoft Office (Excel, Outlook, Teams, Word).
  • Strong time management, organizational, and research skills
  • Strong written and verbal communication skills

Compensation:

  • Starting salary: $65,000 - $75,000+ (dependent on experience).
  • Flexible salary based on candidate's experience and expectations.
  • Full benefits after the probationary period.
  • Performance-based bonuses.
