Role Overview

We are seeking an experienced Corporate/Securities Paralegal to join our dynamic team. This role is pivotal in supporting our legal and corporate operations, particularly in corporate structuring, securities compliance, and fund formation. The ideal candidate will have a strong background in investment fund structures, including LP/GP structures, open-end funds, closed-end funds, and join-venture structures.

Key Responsibilities

Collaborate with external legal counsel to review and finalize partnership agreements.

Liaison between senior executive team and external counsel to ensure alignment between business terms and legal documents

Assist in structuring and maintaining LP/GP and closed-end funds.

Assist in preparing and updating offering memorandums, subscription agreements, and term sheets.

Coordinate the incorporation and registration of new LPs, GPs, and corporate entities.

Maintain corporate records, including minute books and resolutions.

Handle regulatory filings, including Sedar and Sedar+ submissions.

Draft and revise various agreements, including loan and shareholder agreements.

Coordinate transaction closings and manage related documentation.

Draft director resolutions and coordinate necessary approvals.

Perform additional legal administrative tasks as assigned.

Qualifications

Certified Paralegal in the Province of Ontario (mandatory).

7-10 years of relevant experience in corporate and securities legal work.

Proficient in LP/GP structures and closed-end fund operations.

Strong understanding of Canadian securities laws and regulatory frameworks.

Experience in corporate formations and managing legal documentation.

Proficiency in Microsoft Office and document management systems.

Excellent organizational and communication skills.

Ability to manage multiple priorities in a dynamic environment.
