What you'll be doing

The Director, Compensation Governance and Regulatory, Regions (outside North America) is accountable for corporate governance activities as they relate to compensation and Total Rewards. In this capacity, you will be accountable for managing the Compensation Committees and regulatory developments for regions outside of North America. You will manage the UK Remuneration Committee (RemCo) and the Luxembourg Board requirements as well as research, monitor and develop strategies (and if required, additional committees) for complying with regulatory requirements in the regions in which we operate outside of North America. You will also be accountable for maintaining/evolving Committee workplans and requirements; determining topics to be covered at each meeting; determining if there are any requirements across other Global Committees; working with required stakeholders to fulfill the obligations of the Committees and ensure the RR&P team and/or the HR team is in compliance in terms of what needs to be reviewed / approved throughout the year. As the Director, Compensation Governance and Regulatory, Regions, you will also be responsible for educating and providing advice and counsel to relevant stakeholders to ensure all materials meet key requirements within the mandates of each Committee and may also be accountable for educating key stakeholders on regulatory developments or requirements. You will monitor regulatory requirements and best practices and may also be involved in supporting or providing expertise and guidance regarding regulatory requirements to compensation, HR or partners in the business. In addition to advising on specific content, you will be accountable for creating content for specific items/decks each meeting to meet what is required for each Committee or for submission to one of the other Committees or the Board.

How you'll succeed

  • Stakeholder Management - Manage all required stakeholders across HR and/or the business to meet the requirements of the committee(s) and ensure compliance and as the SME provide advice and counsel on the interpretation of mandates and oversight/approval guidelines.

  • Project Management - Build relationships with key partners across Total Rewards, HR and the business and use project management skills to ensure all work is captured in a timely manner and that each stakeholder has clear deliverables.

  • Governance - Develop meeting content and tools by researching, analyzing and formulating recommendations on various compensation policies, required disclosures and governance-related matters.

  • Regulatory Compliance - Research and manage regulatory, operational and reputational risks to ensure that regulatory and legislative requirements are appropriately incorporated in compensation policies and processes relating to the jurisdictions in which we operate outside of North America.
