Intermediate Corporate Records Paralegal

Lawson Lundell LLP is seeking an experienced Corporate Records Paralegal join our busy Corporate Record Department, in our Vancouver and Kelowna office. The successful candidate is an enthusiastic and hardworking team player who would like to work with lawyers in this practice group. The regular working hours for this role are Monday – Friday, 8:30am – 4:30pm.

Standard Responsibilities

  • Be responsible for complex corporate work, from initial instructions of counsel to completion of post-closing filings
  • Review and respond to numerous daily inquiries from counsel and clients regarding record books and transactions
  • Preparing documents for British Columbia entities including incorporations, organizations, continuances, amendments, amalgamations and dissolutions
  • Preparing and filing of extra provincial registrations and all required updates
  • Preparing documents for British Columbia entities relating to share transactions including preparation of resolutions, subscriptions, issuances of share certificates and updates to registers
  • Conducting minute book reviews and preparing documents to bring minute books up-to-date
  • Preparing British Columbia, Federal and extra provincial annual returns, annual resolutions and notices
  • Updating information in ALF database
  • The paralegal will handle files from beginning to completion, working with minimal supervision.

Qualifications

  • Minimum of 3-5 years corporate records experience
  • Computer literacy with good working knowledge of the Microsoft Office suite (particularly Word and Excel)
  • Excellent knowledge of relevant legislation, corporate statutes and procedures and ability to exercise independent judgement
  • Familiarity with the corporate records database “ALF”
  • Familiarity with incorporations, annual records maintenance and other standard corporate transactions such as dividends and redemptions under the BC Business Corporations Act
  • Ability to manage many files at once

The typical salary range for this position is $70,000 - $110,000 annually; the base pay offered is based on location and may vary depending on job-related knowledge, skills, experience, internal and market equity.
