Our client, a globally recognized law firm with a strong presence in Toronto is seeking a Manager of Corporate Services to join their team.
This role combines high-level corporate law clerk responsibilities with leadership and operational oversight. You will manage the delivery of corporate legal services, and lead a team of clerks and administrative professionals. As a strategic partner to firm leadership, you will help optimize workflows, maintain regulatory standards, and ensure top-tier client service delivery.
Responsibilities
- Draft and review corporate documents including resolutions, share provisions, reorganizations, amalgamations, and minute books.
- Manage incorporations, continuances, dissolutions, and annual corporate maintenance for federal and provincial corporations.
- Maintain and audit corporate records using legal entity management software.
- Conduct due diligence and prepare closing agendas for complex M&A and corporate transactions.
- Liaise with clients, regulatory bodies, and external counsel on corporate compliance and filings.
- Lead and mentor a team of corporate law clerks and administrative staff, fostering professional growth and collaboration.
- Allocate work, monitor productivity, and ensure service quality and deadlines are met.
- Standardize processes and implement best practices to streamline corporate services operations.
- Collaborate with partners and lawyers to ensure alignment between legal strategy and service delivery.
- Manage department resources, workflow tools, and ensure compliance with regulatory changes.
- Contribute to firm-wide initiatives related to knowledge management, process automation, and client service improvement.
Qualifications
- Law Clerk Diploma or equivalent; member in good standing with ILCO preferred.
- Minimum 8–10 years of experience as a Corporate Law Clerk in a law firm.
- At least 2–3 years in a supervisory or managerial capacity.
- Strong organizational and leadership skills, with the ability to manage multiple priorities.
- Excellent written and verbal communication skills.
- High attention to detail, with a proactive and client-service mindset.
