Role Overview

Reporting to the Global General Counsel, Our Client is seeking a Senior Legal Counsel with a strong technology background. This hybrid role offers flexibility to work remotely or from our Toronto office.

Key Responsibilities

• Provide legal guidance on technology transactions (e.g., SaaS, software licensing, development, partnerships).
• Support internal compliance on privacy, open source, marketing, and export matters.
• Assist with M&A activities, including due diligence and post-acquisition integration.
• Advise product teams on intellectual property, data protection, and related matters.
• Manage legal entities across global jurisdictions and coordinate with outside counsel.

Qualifications

• Member in good standing with the Law Society of Ontario.
• 7+ years of experience in SaaS/software-related legal roles (top-tier law firm or corporate legal department).
• Expertise in drafting and negotiating technology agreements, including SaaS and software licenses.
• Knowledge of data privacy and experience with data protection agreements.
• Strong negotiation, communication, and interpersonal skills, with the ability to support fast-paced transactions.
• Commercial mindset, ability to work under deadlines, and a collaborative team player.
