Litigation and Real Estate Lawyer
Position Overview
A Legal Counsel specializing in litigation and real estate law provides comprehensive legal support to a private company, with a focus on managing property-related transactions, resolving disputes, and representing the organization in legal proceedings. This role requires expertise in both transactional real estate matters and litigation strategy, ensuring the company's interests are protected in all property dealings and legal conflicts.
Key Responsibilities
• Draft, review, and negotiate real estate contracts, purchase agreements, leases, deeds, and other
property-related legal documents.
• Conduct due diligence on property transactions, including title reviews, zoning compliance, and risk assessments.
• Advise internal stakeholders on real estate acquisitions, dispositions, development projects, and property management issues.
• Represent the company in litigation involving real estate disputes, such as breach of contract, title issues, boundary disputes, zoning matters, and property tax challenges.
• Manage all phases of the litigation process, including investigation, pleadings, discovery, motion practice, trial, settlement negotiations, and appeals.
• Prepare and file legal documents related to both litigation and real estate transactions, ensuring compliance with all legal and regulatory requirements.
• Liaise with external counsel, regulatory authorities, and other parties involved in property transactions or disputes.
• Negotiate settlements to resolve disputes efficiently and protect the company's interests, minimizing the need for protracted litigation.
• Provide legal guidance on risk management strategies related to real estate assets and ongoing or potential disputes.
• Stay current with developments in real estate law, litigation procedures, and relevant regulations to ensure ongoing compliance and effective legal representation.
• Handing all aspect of real estate transactions
• Review complex loan commitments and documents
• Draft security documents
• Liaise with clients, lawyers, and brokers
• Order and negotiate title insurance policies
• Attend to closings, reviewing title searches, registering transactions and documents on Teraview, meeting with clients to review documentation, prepare reporting letters, and preparing other transactional documents
Required Skills and Qualifications
• Licensed with the Law Society of Ontario
• 3+ years of experience in real estate law and litigation, preferably in a corporate or private practice setting.
• Work experience in areas of family law, estates, wills and POA, and corporate, a plus but not required
• Strong knowledge of property law, contract law, litigation procedures, and regulatory compliance.
• Proven ability to manage complex real estate transactions and property-related disputes from inception to resolution.
• Excellent negotiation, analytical, and communication skills.
• Ability to work independently and collaboratively with cross-functional teams.
