Position Overview:

As a Contract Management Specialist at Avidbots, you will play a pivotal role in facilitating commercial transactions from contract initiation through the signature process. This is a customer facing role, with a focus on revising and negotiating sales related contracts. You will be responsible for ensuring all contractual agreements adhere to company policies and procedures, working with SMEs and leaders across Avidbots to address contract issues. You will be instrumental in building out our legal playbook and supporting legal operations projects. This role is ideally suited to a committed lifelong-learner who is curious about dynamic topics like robotics, privacy law and artificial intelligence.

Location:

Remote in Canada and willing to work in core business hours (Eastern Timezone)

Responsibilities:

  • Drafting, negotiating, redlining, and coordinating approvals on a variety of commercial agreements from contract initiation through the signature process, escalating issues as needed
  • Revising and approving contracts for signature in accordance with company policies and procedures, including Avidbots' approval matrix and delegation of signature authority
  • Collaborating with Sales, Account Management, Product, IT, Operations and Engineering to identify and address commercial, legal and compliance issues
  • Acting in accordance with company policies and procedures, protect the company's interests, identify risks and negotiate on behalf of Avidbots
  • Liaise as required with internal teams and subject matter experts e.g. FP&A, Accounting, Privacy, and Information Security to respond to contract issues
  • Assist with the creation and maintenance of learning materials, playbooks, FAQs and other contributions to the legal intranet site
  • Develop “Working with Legal” onboarding materials for new hires in Sales, Marketing, Procurement, Finance and Accounting; deliver training
  • Draft alternative clauses to address various contract scenarios, contribute to and revise the alternative clause library
  • Respond to contract interpretation questions, investigate disputes, research issues, respond and escalate as required
  • Maintain contract status reporting, sharing key milestone achievements, identifying and escalating roadblocks

Requirements:

  • 5 - 8 years of experience in drafting and negotiating commercial contracts, ideally for SaaS and/or IoT device sales and services for a Canadian or US company
  • Good working knowledge of various contract types, including purchase terms, SaaS terms of service, Master Service Agreements, SOWs, partner and channel agreements, non-disclosure agreements, PO terms and RFX
  • Familiarity with privacy regulations and requirements (e.g. GDPR, CCPA), data protection, data handling issues related to SaaS business models, information security agreements
  • Awareness of regulatory requirements such as anti-bribery laws, export controls and anti-slavery legislation
  • Excellent interpersonal skills, flexible approach, strong business acumen, and sound judgment
  • Adept at multitasking and prioritizing competing demands
  • Knowledge of Salesforce and a contract lifecycle management platform (e.g. LinkSquares), skilled at gathering and presenting relevant data from these sources
  • Committed lifelong learner, continually upgrading skills and knowledge
  • University degree, paralegal degree or equivalent college and work experience
  • Successfully complete pre-employment onboarding requirements that may include criminal/civil background checks
