In this role as Manager, Commercial Law, you will conduct commercial negotiations, and drafts and negotiates commercial contracts, including supply agreements, advertising, media and group booking agreements, letters of intent, non-disclosure agreements and amending agreements. Also, you will assist with the Company's obligations under Privacy Laws and assist with maintaining corporate minute books and conducting regulatory filings.
The ideal candidate will ensure the efficient and orderly completion of business transactions and manages the signing of all documents. Maintain and update the Legal Department's corporate-commercial precedents. Coordinate with the company's departments and subsidiaries to ensure that business teams are using approved and up-to-date documentation for all transactions and participate in corporate restructuring and other transactions. Must be proficient in Contract Law.
This is a hybrid position (3 days in the office per week). Office location is 1303 Yonge Street, Toronto.
Key Responsibilities
- Oversee administration of the Company's commercial contracts.
- Manage the Legal Department's standard-form commercial contract precedents to ensure that they remain up-to-date.
- Remain up-to-date on applicable law and commercial best practices.
- Draft and negotiate commercial contracts to achieve the desired business results and most-advantageous contractual terms. Participate in corporate restructuring and other transactions.
- Attend to regulatory matters (Privacy Law, Minute Books and Corporate filings).
. Education & Certification
- College diploma or University degree.
Experience
- 3 years' experience at a law firm or corporate/governmental in-house legal department.
- Experience working with the Microsoft Office suite of applications (Outlook, Excel, Word, PowerPoint, OneNote and Teams).
