Duties include but are not limited to:

  • Structuring, reviewing, drafting, negotiating, and enforcing with Project Commercial team of design agreements, client agreements, subcontract agreements, partner agreements, purchase orders, NDAs, Notice of Change and others.
  • Draft/support negotiations and administration of Project specific standard forms (Subcontract, Material Contract, PSA, Purchase Agreement, and Trucking Agreement), including the protocols necessary to review with Project Senior Management, Project Procurement & Commercial Teams and if necessary, to consortium team members, and where required, provide advisement to Project members overall.
  • Provide training on contracts, standard form agreements for Project Procurement, Senior Management, Commercial and Change Management.
  • Assist with the review of contract documents, identify, and analyze legal risks and report on legal risk in order to mitigate risks.
  • Point reference to Project Team for all matters concerning Prime Contract with Client.
  • Work with Project Team members to identify significant cost, schedule, contractual issues and advise on drafting appropriate notice and correspondence.
  • Review and advise on matters related to utility and right-of-way agreements, property owner disputes, etc. This would include advisement to Project Management, Third Parties and other Stakeholder groups.
  • Support Project Team members in tracking, advancing and responding to matters related to contract change events. Including risk management related to insurance related property damage and third party related utility damage claims.
  • Provide support on legal elements of issues or crisis management, e.g. employment disputes, contract disputes, and provide input on the decision whether to send matters to outside counsel and assist in the oversight of outside counsel as necessary.
  • Advise and support Project Senior Management on matters related to serious project safety incidents from the legal perspective, responding to third party complaints, lawsuits or other significant community issues on the Project.
  • Clear written communication and effective interaction with a variety of operational roles will be critical, as will the ability to establish rapport and credibility with stakeholders across the project team.
  • Other duties as required.

The successful candidate will have the following:

  • A current license to practice law in Ontario and member in good standing with the Law Society of Ontario.
  • 8+ years of post-call experience at a well-respected law firm or in-house construction legal department.
  • Superior written and oral communication and interpersonal skills in complex and at times adversarial situations, with the ability to communicate effectively at all levels of the organization as well as the ability to establish rapport and credibility with stakeholders across the project team.
  • Sound judgement and legal reasoning, excellent analytical skills, and creativity in solving problems.
  • Demonstrated ability to develop strategies to succeed, present a clear plan to the client, and communicate instructions rigorously and precisely.
