Job Title: Legal Counsel, Mergers & Acquisitions

Location: 66 Wellington Street West, Toronto, ON (Hybrid - 2 days/week onsite)

Schedule: Monday-Friday, Standard Business Hours

About the Role:

We are seeking an experienced Legal Counsel - Mergers & Acquisitions to join the M&A Legal team. Reporting to the Managing Counsel, this role provides legal expertise to support the bank's global M&A activities across all business segments.

This is a great opportunity to work on strategic corporate transactions, partner with the bank's Corporate Development team, and engage with senior stakeholders in a highly respected legal function.

Key Responsibilities:

• Provide legal advice and oversight for M&A activity across the bank's business segments
• Identify, assess, and communicate legal risks; offer mitigation strategies
• Partner with external counsel and manage external legal spend
• Support matters related to public company requirements, governance, and disclosure
• Deliver timely and practical legal advice to senior leadership and business partners
• Collaborate with internal legal teams across geographies and specialties
• Anticipate legal and regulatory issues and contribute to enterprise-level strategy

Candidate Profile:

Required Qualifications:

• Law degree from an accredited law school and licensed to practice in Ontario
• Minimum 5 years of experience in M&A and corporate transactional law with a top-tier firm or large in-house legal team

Must-Have Skills:

• Extensive background in mergers, acquisitions, divestitures, and joint ventures
• Strong written and verbal communication; adept at negotiation and stakeholder management
• Proven ability to work in high-pressure environments and deliver under tight timelines
• Strategic thinker with strong analytical and organizational skills
• Ability to build trust and influence at all levels

Nice to Have:

• Experience supporting a financial institution or regulated business
• Familiarity with global transaction structures and cross-border deal execution
