We consider all our associates as an integral part of the firm and are looking for someone to join our growing team as early as possible. Candidate MUST have at least 4 years of experience in commercial real estate and corporate law.
Responsibilities
1. Commercial Real estate
- Ability to run commercial real estate files independently
- Experienced in commercial leasing, share purchase agreements, asset purchase agreements, franchise agreements, title and off title searches, reviews and opinions, transaction structuring
- Experience in dealing with mortgagees, including standstill and subordination agreements,
- security documentation, negotiation of holdbacks and escrow arrangements
- Experience in dealing with title insurance and negotiating exceptions as required
2. Corporate Law
- Ability to run corporate law files independently
- Experienced in shareholder agreements, incorporations, amalgamations, share purchase
- agreements, and corporate restructuring
- Experience in creating an external investor package
- Experience in structuring vendor representations and warranties
Requirements
- Juris Doctor (JD) degree from an accredited law school in Canada
- Excellent academic credentials with an LLB or JD
- Membership of the Law Society of Ontario in good standing
- 4+ years of experience with mid sized or large firms practicing corporate/commercial real estate law
- Strong technical legal, analytical and drafting skills combined with the ability to use logic to solve complex problems, excellent organizational skills and rigorous attention to detail
- Strong legal research, drafting, oral advocacy, and client services skills
- Ability to handle competing deadlines on tight timelines
- An existing book of business is an asset, but not required
Salary: $120,000 +
