Our client, a leading law firm is seeking a highly experienced and detail-oriented Senior Corporate Law Clerk to join their Corporate department. This role is ideal for a senior-level clerk with a deep understanding of Ontario and federal corporate law who thrives in a collaborative, global environment. A key part of this role includes mentoring junior clerks and sharing best practices, and supporting the professional development of the team.
You'll work closely with lawyers and clients on a wide range of complex transactions and corporate matters involving both Canadian and international business entities.
Responsibilities
- Prepare and file documents relating to Ontario and Canada Business Corporations Act (OBCA and CBCA) incorporations, amendments, amalgamations, dissolutions, continuances, extra-provincial registrations, and other corporate changes.
- Draft resolutions, agreements, share provisions, and other supporting documents for reorganizations, share transactions, and business combinations.
- Conduct minute book reviews and corporate due diligence for transactions and audits.
- Maintain and organize corporate records and ensure compliance with statutory obligations and deadlines.
- Liaise with external service providers, regulatory bodies and clients.
- Mentor and provide guidance to junior law clerks and legal administrative staff; assist in onboarding, training, workflow coordination, and promoting team development.
- Participate in internal process development initiatives and contribute to improving efficiency and consistency across the team.
Requirements
- Law Clerk Diploma/Certificate from an accredited Ontario institution and/or Member in good standing of the Institute of Law Clerks of Ontario (ILCO).
- 10+ years of relevant corporate law clerk experience in a law firm or in-house legal department.
- Demonstrated experience mentoring or supervising junior law clerks or legal professionals.
- Excellent drafting, organizational, and communication skills.
Compensation
This role offers a competitive salary commensurate with experience, plus benefits (health, dental, RRSP match, etc.) This role is working in the office 3 days per week, and 2 days remote.
