Based in Toronto, Canada, HDL Capital ("HDL") is an M&A Advisory team, specializing in arranging transformational transactions for small & mid-market companies in the $10M to $100M+ range. HDL specializes in Sell-Side M&A, Buy-Side M&A, Formal Valuations and Fairness Opinion Advisory services across a range of industries.

SUMMARY OF THE ROLE:

You will be working on the full M&A deal cycle from day one. No sitting in the corner working on the same excel model for weeks on end. We encourage you to take the lead on projects, create/explore new business development initiative, and do whatever you can to grow the firm's business (and your experience base).

COMPENSATION:

  • Base salary of $75K to 90K, PLUS fee sharing equivalent to 25-50%+ of base salary (never capped)
  • Full health/dental benefits after first year
  • Full time role, with flexibility in work hours and location (ability to work from home up to 2 days per week).
  • We are looking for the Senior Associate to roll up their sleeves and contribute meaningfully, with the opportunity to grow into a senior leadership role at HDL over time.

A TYPICAL DAY FOR THE SENIOR ASSOCIATE WILL INVOLVE ANY OR ALL OF THE FOLLOWING:

  • Liaising directly with Executives and management teams at current or prospective client companies to gather, organize and closely analyze key operational/financial information
  • Critically reviewing CIMs and other presentations and preparing summary briefs with key observations/recommendations
  • Leading preparation of new client presentations and taking and active part in client meetings.
  • Developing comprehensive CIMs and Financial models for Sell-Side Mandates
  • Carrying out Quality of Earnings (QofE) level analysis and preparing reports on findings
  • Setting up, populating and managing online data rooms for client mandates
  • Researching and reaching out to targets for Sell-Side and Buy-Side mandates, and directly reaching out to leadership at targets (with confidence and professionalism)
  • Playing a central role in every aspect of the deal negotiation and transaction closing process.
  • Leading or supporting Valuation or Fairness Opinion projects
  • Training and overseeing junior team members
  • Proactively researching and identifying prospective clients in specific industry sectors and actively developing/executing business development programs.

CREDENTIALS & SKILLS:

  • 2-5 years of work experience required, of which 2 years in M&A transaction services is required
  • Completed undergraduate degree and has completed or is near completion of a CPA or CBV or other accounting designation is preferred;
  • Second designation (i.e. CFA, etc.) is considered an asset but not required
  • Very strong excel financial modelling skills with complete comfort developing complex three statement models (no hard coding here)
  • Ability to lead preparation of attractive and comprehensive Confidential Information Memoranda (CIM) and other deal marketing materials
  • Superior verbal and written communication skills, with confidence to reach out to a CEO or President on your own throughout a project.
  • Lateral thinking and critical thinking are crucial, you must be able to see the big picture in everything you do
  • Strong accounting proficiency and proven ability to conduct due diligence projects
  • Ability to adapt and thrive in a fast paced and constantly changing environment
