Role/Responsibilities
- Review and understand transaction agreements, tax memoranda and/or opinions, and other documentation relevant to the analysis and assessment of tax risks.
- Analyze and assess the insurability of underlying tax risks in accordance with the tax product line policies and procedures.
- Prepare and negotiate non-binding indication letters, insurance policies and binder agreements.
- Interact with clients, clients' advisors, brokers and other deal professionals.
- Participate on underwriting conference calls.
- Manage the tax underwriting process, including the selection of, and work performed by, outside counsel.
Requirements
- Minimum of 3-7 years of tax experience in a law firm, public accounting firm or other relevant business.
- Detailed understanding of complex corporate tax structuring and tax credit arrangements, with a focus on the federal income tax aspects of M&A and partnership transactions, including domestic and cross-border transactions.
- Ability to multitask, work in a fast-paced environment, and to make informed and independent decisions on technical underwriting points against a backdrop of tax risk assessment.
- Law degree or CPA required.
