We are currently looking for a Lawyer to join the Corporate team in our Halifax office as a member of our Securities group.
We represent clients at all stages of development from innovative start-ups and early-stage growth companies to publicly-traded companies, operating provincially, nationally and internationally. Our Securities team advises private companies, reporting issuers, investment dealers and underwriters on all aspects of capital markets and corporate finance transactions, securities regulatory compliance, and corporate governance.
The ideal candidate will have extensive experience in connection with:
- public and private financings, including IPOs, primary and secondary public offerings and private placements of debt, equity and convertible securities;
- venture capital financings, including at the pre-seed / angel, seed, Series A and IPO / acquisition stages;
- stock exchange listing and inter-tier graduation applications;
- equity-based compensation plans;
- take-over bids, substantial issuer bids and normal course issuer bids;
- securities law approvals in M&A transactions;
- continuous disclosure obligations, insider reporting and corporate governance best practices; and
- stock exchange and securities regulatory compliance.
In addition, the ideal candidate has strong communication skills, is comfortable dealing directly with senior executives in strategic discussions and has the ability to manage multiple client priorities within tight timelines.
The successful candidate will be expected to actively participate in business and client development, and positively contribute to the culture of the firm.
Candidates must be a member in good standing with a Canadian Law Society and should provide a resume and cover letter by no later than November 6th, detailing relevant practice experience.
