The Opportunity
We are currently seeking a Senior Counsel Manager to join our Legal and Governance team, based in Toronto.
The Senior Counsel Manager is a true "generalist," responsible for advising across the business. This role presents a unique opportunity to provide counsel in areas such as business development, operations, procurement, IT, finance, sales, and marketing, as well as exposure to managing litigation, Indigenous affairs, and regulatory matters including environment, health and safety, and compliance. The manager must integrate within the business to deliver practical legal advice that considers business objectives, risk mitigation, and strategic opportunities. The Senior Counsel Manager offers guidance and direction on corporate, commercial, and operational matters to support senior leadership.
Additionally, in this position you will:
- Support implementation and management of various agreements (shareholder related, partnership, offtake, royalty, etc.).
- Analyze, advise and liaise with internal clients on various operational issues – the expectation is to identify the legal issues, provide risk assessment, identify/assess options and make recommendations based on legal and business considerations (e.g., commercial, procurement, environmental, health & safety, sustainability and compliance).
- Ensure continuous progress on completion of specific projects/transactions/initiatives (e.g., Business Development, Strategy, Marketing and Sales, Treasury, etc).
- Contribute to Legal group operational efficiencies including external reporting (e.g., regulatory filings) as well as internal reporting (e.g., audit related, Litigation Reports, the Legal and Governance Base Metals Reports) as required monthly, quarterly, annually.
- Engage and provide information, support and direction to external counsel and other advisors, such as financial advisors.
- Contribute to the Legal Budget development, monitoring and reporting (including on external counsel spend, travel, training, etc.).
About You
Education:
- Bachelor of Laws or JD is required.
- Must have a Law Society Membership from a Canadian jurisdiction.
Experience:
- 5+ years of related work experience.
- Private practice experience + in-house experience considered an asset.
- Public company experience not required but considered an asset.
- Experience in the natural resources, particularly mining, is considered an asset.
