The Opportunity
The Chapman Group is helping their client The Canadian Communication Systems Alliance in finding a Director of Legal & Regulatory Affairs to lead its regulatory and legal activities. The Director plays a key role in effectively and efficiently supporting the Management team and Board of Directors of the CCSA and works closely with the CEO and the management team to lead CCSA's regulatory affairs activities in support of CCSA's mandate and its member companies, as well as supports the corporate and governance activities of the Board and its' committees.

Leveraging the collective buying power of Canada's independent communications companies, CCSA delivers to members cost savings, advocacy support, and opportunities for knowledge and information exchange. CCSA does this by helping to control their video programming and other costs, keeping them informed of changes in the industry, and ensuring government and regulatory stakeholders receive the right messages about member's businesses and issues at the right time.
CCSA members are community cooperatives, family businesses, municipalities, and companies owned by Indigenous People that work and invest in their communities. Their connection and relationship to their community isn't just business - they live there.
This is a key role reporting to the CEO and working as a member of the management team. The Director is responsible for management and execution of all broadcasting regulatory matters and corporate legal matters affecting the organization.
How You Will Make an Impact - Core Accountabilities
Management
· Contribute to CCSA's success through the provision of leadership, input, guidance and participation in organizational strategic planning and implementation.
· Develop and execute departmental activities that deliver on overall strategy within established budgets and time frames.
· Work collaboratively with leadership and cross-functional teams, ensuring maintenance of team culture and morale, productivity, and efficiency.
· Work with the COO to maintain CCSA's risk profile "heat map" and advising CCSA's Audit & Risk Management Committee in corporate risk related matters.
Regulatory & Advocacy
· Develop and maintain a comprehensive regulatory strategy for issues affecting CCSA and its members to ensure appropriate representation of CCSA and member interests to the CRTC and other government regulatory authorities.
· Monitor, identify, interpret, and report on regulatory matters affecting CCSA and its members, while overseeing and implementing advocacy initiatives under the direction of the CEO and CCSA's Regulatory Committee to contribute to achieving favourable policy on behalf of members.
· Draft and submit filings and interventions to the CRTC and other government authorities, conduct and participate in CRTC hearings, and support coordinated representation of members' views and requirements to various levels/departments of government as necessary.
· Work with CCSA Communications to ensure members are informed in a timely manner of CCSA's positions/reactions, regulatory issues, and matters of compliance.
· Work with external counsel, manage CCSA's participation in Copyright proceedings as well as any other matters requiring external legal counsel/support from time-to-time.
· Assist members with specific regulatory matters, issues, and questions.
Contract & Legal Services
· Provide oversight of CCSA's contracting practices, including the review and approval of contracts, leases, and other binding commitments into which CCSA enters; as well as organizing and maintaining the contracts filing system, and maintaining precedents for key contract types.
· Manage documentation for certifying bodies or government agencies as required.
· Support CCSA Member Services' membership application and acceptance processes.
· Support the performance of corporate law duties and governance, including advice and counsel, acting as Corporate Secretary, preparing, and preserving Board materials, maintaining corporate records and ensuring submission of filings, supporting Board nomination and election process, managing issuance and retirement of capital shares in the corporation, and contributing to creation of the AGM agenda and conference scripts.
· Management of any legal aspects of or affecting CCSA's operations.
What You Will Offer - Ideal Profile
- LL.B and/or J.D. from an accredited Canadian Law School and in good standing with a provincial Law Society; or equivalent regulatory experience while overseeing work with external legal consultants.
- Minimum of 8 years of related experience managing regulatory affairs in the broadcasting and/or telecommunications sectors.
- Experience representing organizations and engaging with government agencies and officials.
- Experience in corporate governance and legal corporate business requirements.
- Experience overseeing the governance of a Board and its committee processes.
- Demonstrated initiative, independent thinking, conflict resolution and creative problem-solving skills.
- Exceptional collaboration, communication, and interpersonal skills, including demonstrated diplomacy and tact and the ability to build and maintain positive relationships working with a variety of internal and external stakeholders.
- High level of integrity and trust.
- Superior organizational, project management and decision-making skills.
- Ability to manage competing priorities and carry out projects to completion.
- Strong writing and communications skills for a variety of audiences (e.g., government, regulatory, members).
- Bilingual in both official languages (English and French), verbal and written, is an asset.
- ICD or other Board governance training is an asset.
- Some travel is required.
