How You'll Help Us Better Serve Our Clients

Clark Wilson LLP is seeking a detail-oriented and collaborative Annual Maintenance Clerk to join our Corporate Services team. Working closely with our Annual Maintenance Administrator, this role will primarily support the management of annual maintenance filings and corporate records updates while also providing assistance to the broader Corporate

Services team as operational needs may require.

This position is ideal for someone with previous corporate services experience who enjoys working in a professional environment and takes pride in delivering accurate and timely work.

Annual Maintenance

  • Assist with the preparation, coordination, and completion of annual maintenance filings for a large portfolio of private company clients.
  • Prepare annual resolutions, annual reports, and related corporate documentation.
  • Monitor filing deadlines and maintain bring-forward systems to ensure timely completion of annual maintenance obligations.
  • Prepare and organize corporate record documentation and minute book materials.
  • Update and maintain corporate records databases and document management systems.
  • Communicate with lawyers, legal assistants, clients, and external agencies regarding annual maintenance requirements and deadlines.

Corporate Services Support

  • Assist with incorporations, amendments, dissolutions, extra-provincial registrations, name changes, and other corporate record transactions.
  • Prepare, file, and retrieve documents through BC Registries and other applicable government registries.
  • Respond to internal requests for corporate information and documentation.
  • Provide coverage and support to other corporate services team members during peak periods, absences, or vacation coverage.

What You'll Bring

  • Minimum 2–4 years of experience in a Corporate Services, Corporate Records, or Corporate Legal Assistant role within a law firm.
  • Demonstrated experience preparing and managing annual maintenance filings for private companies.
  • Experience maintaining corporate records and corporate minute books.
  • Familiarity with BC Registries and other applicable corporate filing systems.
  • Strong proficiency with ALF database, and Microsoft Office, particularly Word, Outlook, and Excel.
  • Experience using legal document management systems such as iManage.
  • Exceptional organizational skills with the ability to manage multiple deadlines simultaneously.
  • Excellent attention to detail and commitment to producing high-quality work.
  • Strong written and verbal communication skills.
  • A collaborative, service-oriented approach and willingness to support colleagues across the team.

The expected salary range for this role is likely to be between $55,000 and $65,000, with the final salary determined based on the successful candidate's experience, qualifications, skills, and internal equity.
