Our client, a well-established business law firm in downtown Vancouver, is seeking an experienced Corporate Paralegal to join their team. This is a key role providing support to a busy and dynamic corporate practice.

This position is well suited to a detail-oriented, high-performing professional who enjoys both independent work and collaboration, and thrives in a fast-paced environment with a variety of responsibilities.

Key Responsibilities

Transactional & Corporate Work:

  • Assist with corporate transactions including reorganizations, mergers and acquisitions, joint ventures, and dissolutions
  • Prepare and review corporate documents, including resolutions and governance materials
  • Conduct due diligence searches (e.g., corporate registries, land title, and other databases)
  • Coordinate execution and closing of transactions, including preparation of closing documents and digital records
  • Draft, edit, and format legal documents, agreements, and correspondence

Corporate Records & Maintenance:

  • Maintain and update corporate records, including minute books (physical and digital)
  • Assist with ongoing corporate maintenance matters such as annual filings, changes in directors/officers, and transparency registers
  • Prepare and distribute documents for execution, including through electronic signature platforms
  • Communicate with clients regarding corporate matters

General Support:

  • Provide support and coverage for other team members within the corporate group
  • Assist with firm-wide projects and initiatives as required
Qualifications & Experience
  • 35 years of experience as a Corporate Paralegal in a law firm environment
  • Completion of an accredited Paralegal program
  • Strong experience in corporate and commercial law; securities or real estate experience is an asset
  • Ability to manage files independently from start to finish with minimal supervision
  • Proficiency with legal and business software applications (e.g., Microsoft Office, document management systems, e-signature platforms, and registry systems)

Compensation & Benefits
  • Competitive salary range of approximately $65,000$95,000, depending on experience and qualifications
