POSITION SUMMARY
The Governance, Risk, and Compliance (GRC) Lead is responsible for overseeing the development, implementation, and management of comprehensive GRC frameworks. This role ensures that OSBIE adheres to regulatory requirements, industry standards, and organizational policies, supporting a robust risk management culture that minimizes exposure to compliance breaches and operational risks. This role reports to the VP, Finance & Administration, and dotted line to the CEO.

The GRC Lead collaborates closely with cross-functional teams, including underwriting, claims, member services, finance, and legal, to promote and enforce best practices. This role requires a detail-oriented, analytical professional with strong knowledge of insurance regulations and the ability to proactively identify, assess, and mitigate risks. Supports strategic initiatives by providing advice on compliance, risk, and governance matters.

KEY RESPONSIBILITIES

Compliance Monitoring & Reporting

Implement compliance monitoring programs to detect and prevent violations of policies and regulations, ensuring accountability at all levels.
Prepare and deliver regular reports on risk and compliance activities to executive management.
Develop and maintain compliance records, including audits, incident reports, and corrective action plans, ensuring documentation accuracy and completeness.
Develop and deliver training programs on GRC principles, regulatory updates, and industry best practices to all stakeholders.
Foster a compliance-focused culture by raising awareness about ethical business practices and the importance of adhering to internal controls.
Liaise with FSRA and other regulatory bodies, external auditors, and other relevant entities as required, ensuring open and effective communication.
Lead efforts in preparing for regulatory examinations, audits, and reviews, ensuring all necessary materials and information are provided in a timely manner, including the Risk Based Supervisory Framework (RBSF)

Privacy /Data Protection

Develop and implement privacy policies and procedures that align with organizational goals and regulatory requirements to ensure the organization's practices comply with applicable data privacy laws.
Perform privacy impact assessments (PIAs) for new projects, systems, or processes that involve personal data.
Respond to data breaches or privacy incidents, coordinating investigations and ensuring timely reporting to regulatory authorities and affected individuals, as required by law.
Oversee data inventory and mapping to ensure all personal data is identified, cataloged, and handled properly.
Conduct periodic audits to assess privacy compliance.

Risk Management

Support CFO and CEO in enterprise risk management (ERM) initiatives within OSBIE including:

Facilitating risk assessments and reporting on a quarterly basis
Leading collaborative discussions on OSBIE's risk universe with the Board of Directors
Identify, assess, and monitor key risks across all functional areas, implementing risk mitigation strategies, as necessary.
Perform regular risk assessments and audits to detect and address potential vulnerabilities within processes and systems.

Corporate Governance

Provide support to the Board of Directors and its Governance Committee on Policy development and processes and updates to policy wording as required.
Plays a critical role in ensuring the effective governance and smooth operation of OSBIE's Board of Directors, acting as an Assistant to the Corporate Secretary (CEO) including scheduling, organizing, and attending board meetings.
Support the CEO in implementing board decisions and directives.
Facilitate onboarding and orientation of new board members.
Arrange for ongoing training and development for Directors.
Facilitate the Board of Directors nomination and elections process.

Qualifications

Post-secondary education in Corporate Secretarial Practice, Business Law, Business Administration, Paralegal, or a relevant field.
5+ years of related experience in a similar role i.e. Corporate Secretary, Governance, Compliance or Risk based role, preferably within the Financial Institutions industry.
Corporate compliance experience is a must have.
Preferable industry experience in a regulated institution within Financial Services or Insurance
Experience managing board & committee processes considered an asset.
Ability to work effectively with stakeholders at all levels, providing strategic guidance and fostering a culture of compliance and risk awareness.

Skills & Competencies

Detail-oriented with a strong capacity for handling sensitive information and complex regulatory requirements.
Exceptional written and verbal communication skills, with a demonstrated ability to effectively communicate with senior leaders and board members and convey complex information to non-specialist audiences.
Strong critical thinking, problem-solving, decision-making, organizational, time-management and analytical skills
Self-starter with the ability to work independently and as part of a collaborative team.
Effective leader who motivates and engages others through fostering a collaborative team environment.
