Legal Counsel
Location: Toronto, ON Full-Time, Permanent
Our Client
Our client is a pioneering investor in global pharmaceutical royalties, focused on accelerating therapeutic innovation by providing capital to inventors, academic institutions, and biopharma companies. They are seeking a strategic and solutions-oriented Legal Counsel to join their growing team in Toronto.
Responsibilities
- Provide legal guidance across the business on contracts, financing, regulatory, and governance matters
- Draft, review, and negotiate a variety of legal documents including NDAs, agreements, and other instruments
- Ensure compliance with securities regulations and internal corporate policies
- Liaise with investor relations to support legal aspects of shareholder communications
- Work cross-functionally with executive leadership, external advisors, and internal stakeholders
- Manage relationships with external counsel to ensure cost-effective, high-quality service
- Support audits, due diligence, litigation, and corporate development activities
- Lead legal research and stay informed of relevant legislative and regulatory updates

Requirements
- JD or equivalent and member in good standing with the Law Society of Ontario (or transferable from another Canadian jurisdiction)
- 3+ years of experience in corporate law, securities law, or related field, either in private practice or in-house
- Proven transactional experience in finance, M&A, private equity, or securities
- Strong drafting and negotiation skills, with excellent attention to detail
- Ability to translate business needs into practical legal solutions
- Professional, proactive, and able to manage multiple priorities in a fast-paced environment
